ASGN Buys Geospatial Intell Firm Skyris; ECS’ George Wilson Quoted

ASGN (NYSE: ASGN) has acquired Skyris for an undisclosed sum as part of efforts to expand its expertise and offerings in geospatial and open source intelligence and data analytics to federal government customers.

ASGN said Thursday it will integrate Skyris into ECS’ mission solutions business unit, which is focused on supporting the programs and missions of the Intelligence Community, Department of Defense and other federal civilian agencies.

Fredericksburg, Virginia-based Skyris was established in 2010 and provides remote sensing, data science and geospatial platforms in support of national security, defense and IC missions. The company provides the National Geospatial-Intelligence Agency with remote sensing and data scientists.

“The demands and data requirements of the intelligence community continue to accelerate. As a result, the need for cleared remote sensing and data-science-related expertise outweighs the available workforce,” said George Wilson, president of ECS and a 2020 Wash100 award winner.

Wilson added ECS looks forward to supporting the existing contracts of Skyris as the latter continues to meet the mission requirements of its customers.

The transaction calls for ASGN to issue restricted stock unit awards to seven employees of Skyris as employment inducement awards in accordance with New York Stock Exchange rules. The restricted stock unit awards cover approximately 12K shares.

Sullivan & Cromwell LLP advised ASGN on the deal’s legal aspect. Chertoff Capital and Greenberg Traurig respectively served as investment banking adviser and legal counsel to Skyris.
