Booz Allen Hamilton (NYSE: BAH) has acquired PAR Technology’s government systems business arm in a move to expand the former’s portfolio of defense offerings.
PAR Government Systems Corp. will operate as part of Booz Allen’s global defense business, bringing its suite of offerings in imagery, real-time communications, mobile situational awareness, data sharing and visualization, the McLean, Virginia-based information technology services provider said Monday.
“This acquisition reinforces Booz Allen’s commitment to help accelerate the modernization of tactical warfighting mission systems and secure the future,” remarked Judi Dotson, president of the global defense sector at Booz Allen and a 2024 Wash100 awardee.
Baird and Gibson, Dunn & Crutcher advised PAR Technology, while Jefferies and King & Spalding advised Booz Allen on the transaction.
PAR’s Sale of Wholly Owned Subsidiaries
PAR also entered into an agreement to sell its Rome Research Corporation subsidiary to NexTech Solutions Holdings in a transaction expected to close by the end of the second quarter.
In a separate announcement, PAR Technology said it has agreed to sell its wholly owned subsidiaries in separate transactions worth $102 million combined to focus on its core businesses.
“The sale of our Government operating segment to notable strategic buyers, Booz Allen Hamilton and NexTech Solutions provides a clear fit for these businesses, allows for a seamless transition and sets up both PGSC and RRC for continued success,” said Savneet Singh, CEO of PAR Technology.
