Agile Defense, a portfolio company of Enlightenment Capital, has purchased XOR Security for an undisclosed sum as part of efforts to broaden its cybersecurity offerings for defense and national security customers.
XOR Security has been providing cybersecurity engineering and operations and virtual security operation center services designed to ensure the security of security systems used by federal government and commercial clients since 2013, Agile Defense said Wednesday.
Agile Defense CEO Jay Lee said the acquisition strengthens the company’s suite of enterprise information technology platforms and services by gaining access to XOR’s cybersecurity talent and capabilities.
“The synergies between our firms made joining forces the right move, giving XOR additional access to the Defense and Intelligence markets, while supporting Agile Defense’s delivery of Digital Transformation services throughout the Federal Civilian marketplace,” said Razwan Raja, founder and CEO of XOR Security.
Devin Talbott, founder and managing partner at Enlightenment Capital, said XOR enhances Agile Defense’s range of DevSecOps and digital transformation support offerings by bringing its expertise in zero trust, advanced threat response, managed detection and network defense.
Baird and Pillsbury Winthrop Shaw Pittman respectively served as XOR Security’s exclusive financial adviser and legal counsel in the transaction.
Moore & Van Allen was Agile Defense’s legal adviser in the deal. Morrison & Foerster offered government contracting legal consulting services in the acquisition.
Reston, Virginia-based Agile Defense became part of Enlightenment Capital’s portfolio after it was acquired by the private investment firm in November 2022.
